AWI board nomination committee independent chair appointed

Experienced company director Samantha Hogg has been appointed independent chair of AWI’s board nomination committee.

EXPERIENCED company director Samantha Hogg has been appointed as the independent chair of Australian Wool Innovation’s board nomination committee.

AWI said Ms Hogg has had a 25-year career as an executive in the resources and toll road sectors including being chief financial officer for Transurban.

Over the last six years she has joined a number of boards as either chair or non-executive director. She has been part of the National COVID-19 Commission Advisory Panel and the Tasmanian equivalent, which have focused on the social and economic recovery from the pandemic.

Ms Hogg is currently a non-executive director of Cleanaway Waste Management Limited, chair of Hydro Tasmania’s audit committee, an Infrastructure Australia director and chair of Tasmanian Irrigation.

AWI said the AWI board nomination committee will consist of five people, including Ms Hogg, as the chair independent of the wool industry and independent from AWI, and initially appointed by the secretary of the Department of Agriculture.

The committee will also comprise two independent non-executive directors of AWI (other than the AWI chair); a wool industry representative independent from AWI, nominated by the Wool Industry Consultative Panel and; a representative from an international executive search firm, nominated by AWI chief executive officer Stuart McCullough, but subject to approval by Ms Hogg.

AWI’s BNC is responsible for identifying necessary and desirable director competencies, considering candidates standing for election or re-election at any general meeting of AWI and; making non-binding recommendations to shareholders in relation to the election or re-election of such candidates. No-one who is a candidate for re-election as an AWI director can be appointed as a member of the committee.

The closing date for receipt of nominations is Monday 20th September and the AGM date is Friday 19th November.
